Ethical Management
WNC maintains a zero-tolerance policy toward corruption and has established an Ethical Corporate Management Best Practice Principles, Code of Ethical Conduct and Reporting and Handling Procedures to clearly articulate its commitment to ethical business practices. All employees and subsidiaries are required to comply with applicable laws and uphold professional ethics. Unfair competition, bribery, and corrupt practices are strictly prohibited. WNC’s Legal & IP Division is charged with enhancing integrity management operations, and an Integrity Investigation Office has been established to conduct due diligence investigations, organize relevant training courses and investigate reported cases. Related matters are subject to the Chairman’s final approval, and the Chief Legal Officer reports on their implementation to the Board of Directors at least once a year. In addition, WNC conducts annual labor and ethics risk assessments covering 100% of its manufacturing sites in Taiwan, China, Vietnam, and Mexico. No high-risk ethics-related issues were identified in the 2025 assessment.
Due diligence
WNC requires that all directors and senior management sign statements affirming compliance with its Integrity Management Policy. WNC also requires all new employees across all sites and new suppliers to sign a commitment to its code of ethics. All new employees hired in 2025 completed the signing process, committing not to offer or accept bribes or any other forms of improper benefits. Each year, an integrity commitment self-assessment questionnaire is distributed to senior management and relevant employees at production sites in Taiwan, China, Vietnam, and Mexico — including those in sales, procurement, general affairs, and other functions with substantive external interactions and influence. The questionnaire covers anti-bribery, conflict-of-interest avoidance, and reporting of illegal conduct. In 2025, a total of 2,721 employees completed the questionnaire, achieving a 100% completion rate with no anomalous responses.

WNC conducts ethics and anti-corruption training annually, reiterating that, in accordance with its Reporting and Handling Procedures, anonymous reporting is permitted and any form of retaliation or adverse action against whistleblowers is strictly prohibited. The reporting procedures are described briefly as follows:

WNC ensures the confidentiality of whistleblowers’ identities. Unless the whistleblower is involved in unlawful conduct, no employee will be dismissed, transferred, or otherwise subjected to adverse treatment because of making a report. The investigation team and all relevant personnel are subject to strict confidentiality obligations regarding the investigation process and its contents. The handling process shall be documented in writing, sealed and archived, and retained for five years. If the reported issue(s) involve WNC directors or high-level managers, the task force should report the investigations results to independent directors. Starting from the second quarter of 2025, complaint cases will be submitted to the independent directors for quarterly review, who will oversee the investigation and handling of whistleblowing cases. In 2025, the Integrity Investigation Office received a total of eight complaints related to individual integrity. Six cases were closed due to insufficient evidence. The remaining two cases involved unauthorized alteration of equipment data and overly close dealings with suppliers; appropriate disciplinary actions were taken in accordance with company regulations, and relevant education and training were reinforced. No other complaints involving conflicts of interest, money laundering, or insider trading were received during the year, and no cases resulted in penalties for corruption or bribery. Employees who have questions or concerns regarding the Code may consult their direct supervisors or the Legal and Intellectual Property Division. They may also raise concerns through the Committee, internal platforms, or other available channels.
Training and promotion
To deepen employees’ awareness of integrity and ethical conduct, the Legal and Intellectual Property Department conducts annual training on the WNC Code of Ethical Conduct and Anti-Corruption. The training is mandatory for both current and new employees, guiding them to make appropriate decisions when facing conflicts of interest and equipping them with the knowledge to respond to misconduct. In 2025, WNC launched the Introduction to the WNC RBA online course across its sites in Taiwan, China, Vietnam, and other overseas locations. The course covered ethics and anti-corruption topics, with a total of 15,547 training completions and a 100% completion rate. The program is scheduled to be introduced at the Mexico site in 2026.

Internal control and audit
In accordance with the Regulations Governing the Establishment of Internal Control Systems by Public Companies, as well as other relevant regulations and laws, WNC has established and maintains an effective internal control system. The company regularly reviews and updates its control design and implementation procedures to respond to changes in the operating environment. Internal control is an ongoing process. Through regular reviews of operational and management processes deviations in operating procedures or expected objectives are promptly identified and feedback is provided to management for corrective action, thereby ensuring sound and stable operations. In addition, WNC’s internal control and audit mechanisms effectively mitigate operational risks and prevent potential misconduct. These systems also enhance procedural transparency and ensure clear accountability.
In accordance with applicable regulations, WNC has established an independent Audit Office, which reports directly to the BOD and operates under the supervision of the Audit Committee. Audit Office The Audit Office comprises a dedicated audit manager and audit personnel. The team reviews internal control systems across WNC and its subsidiaries, evaluates risks, formulates and executes annual audit plans, and tracks the effectiveness of corrective actions. The Office reports to the Audit Committee on a regular basis and the audit manager attends board meetings to present on key matters. In the event of substantial or immediate risks, the manager can report directly to the Chairperson, Audit Committee or independent directors at any time. This ensures that critical audit findings are swiftly escalated, addressed and monitored. A total of 40 audits were conducted in 2025. During the process, 13 deficiencies were identified and fully remediated. The correction rate was 100%.
